We provide tools for supplier discovery, AI‑assisted vendor matching, RFQ/RFP generation, and related sourcing workflows. We may add, change, or discontinue features from time to time.

3. Eligibility & Accounts

You represent that you are at least 18 and have authority to enter into these Terms on behalf of yourself or your organization. You agree to provide accurate information and maintain the security of your account credentials.

4. Subscriptions, Billing & Free Trials

  • Plans. Some features may require a paid subscription. Pricing and features are listed on our site and may change with notice.
  • Trials. We may offer free trials or promotional access. At the end of a trial, continued use may require selecting a paid plan.
  • Payments. You authorize us (or our payment processor) to charge applicable fees and taxes. Except where required by law, fees are non‑refundable.
  • Renewals & Cancellations. Subscriptions renew automatically unless cancelled per the instructions provided in your account or order confirmation.

5. Permitted Use & Restrictions

You may use the Services only for lawful, internal business purposes. You will not (and will not permit others to):

  • reverse engineer, decompile, or attempt to access source code;
  • interfere with or disrupt the Services or related networks;
  • use the Services to transmit unlawful, infringing, or harmful content;
  • misrepresent your identity or affiliation; or
  • resell, sublicense, or provide the Services to third parties without permission.

6. RFQs, Vendors & Third‑Party Interactions

We help facilitate connections between buyers and vendors. We are not a party to any contracts between you and vendors. You are solely responsible for vetting vendors, negotiating terms, and complying with applicable laws and regulations (including trade, export, and industry‑specific rules). We do not guarantee vendor performance, pricing, quality, or timelines.

7. Privacy & Data

Your use of the Services is subject to our Privacy Policy, which explains our data practices. You are responsible for obtaining any necessary consents from your personnel or customers whose data you submit.

8. Intellectual Property

The Services, including software, designs, logos, and content, are owned by ProcureCrib AI, LLC or our licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, or create derivative works.

9. Feedback

If you submit suggestions or feedback, you grant us a worldwide, non‑exclusive, royalty‑free license to use and incorporate them without obligation to you.

10. Third‑Party Services

The Services may integrate with third‑party platforms (e.g., Typeform, Airtable, analytics). Your use of third‑party services is governed by their terms and policies. We are not responsible for third‑party content or services.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR‑FREE, OR MEET YOUR REQUIREMENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PROCURECRIB AI, LLC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS; EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You will defend, indemnify, and hold harmless ProcureCrib AI, LLC and our affiliates, officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.

14. Suspension & Termination

We may suspend or terminate your access to the Services for suspected violations of these Terms, illegal activity, nonpayment, or to protect the Services or other users. Upon termination, your right to use the Services ceases immediately.
